Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MOVO-X platform, including all kiosk software, web interfaces, APIs, and related services ("Services") provided by EverestX ("MOVO-X", "we", "us", "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance

By accessing or using the Services, you confirm that you are of legal age in your jurisdiction, have the authority to bind your organisation, and agree to these Terms and our Privacy Policy.

2. Services

MOVO-X provides a B2B SaaS platform for healthcare providers including: patient self-service kiosk software, queue management systems, AI-assisted clinical triage, and associated management dashboards. The Services are designed for use by licensed healthcare facilities and their authorised staff. The Services are not a substitute for clinical judgement or licensed medical advice.

3. Healthcare provider obligations

Healthcare providers ("Customers") who deploy MOVO-X agree to:

  • Obtain all necessary regulatory approvals for kiosk deployment in their jurisdiction
  • Maintain appropriate clinical oversight of AI triage outputs
  • Provide patients with required privacy notices at point of collection
  • Comply with all applicable health information laws (PDPA, PHIPA, PIPEDA, etc.)
  • Maintain accurate staff access controls and promptly deprovision departing staff
  • Report any security incidents to MOVO-X within 24 hours of discovery

4. Intellectual property

The MOVO-X platform, software, AI models, and all associated intellectual property remain the exclusive property of EverestX. Customers are granted a non-exclusive, non-transferable licence to use the Services during the term of their agreement. No rights are granted to reverse engineer, copy, or create derivative works.

5. Uptime and SLA

MOVO-X targets 99.9% uptime for cloud-connected Services, measured monthly excluding scheduled maintenance windows. Kiosk software includes offline fallback mode to maintain basic check-in functionality during connectivity interruptions. SLA credits are specified in individual Customer agreements.

6. Limitation of liability

To the maximum extent permitted by applicable law, MOVO-X shall not be liable for any indirect, incidental, special, consequential, or punitive damages. MOVO-X's aggregate liability for any claim shall not exceed the fees paid by the Customer in the 12 months preceding the claim. MOVO-X is not liable for clinical outcomes; AI triage outputs are advisory and subject to clinician review.

7. Governing law

For Malaysian customers: these Terms are governed by the laws of Malaysia. For Canadian customers: these Terms are governed by the laws of Ontario, Canada. For Singapore customers: these Terms are governed by the laws of Singapore. Each party submits to the exclusive jurisdiction of the courts in the applicable jurisdiction.

8. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated with 30 days' notice to active Customers. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
